2.1 Purpose of the Website
The Website presents Bulbul Agency’s specialized public relations, integrated marketing, brand strategy, film/entertainment PR, luxury activations, and event services.
2.2 Authorized Interactive Features
Website visitors may interact with Bulbul Agency strictly through the following dedicated features:
- Inquiry Forms: Submitting messages, project details, and business requests via contact forms.
- Consultation Booking: Scheduling strategy sessions and consultation meetings through our integrated Google Meet / Google Calendar booking portal accessible via the “Let’s Talk” page.
- Communications Opt-in: Subscribing to agency newsletters, industry insights, and updates.
- Client Portal Access: Accessing the restricted “Bulbul Connect” client area.
The Website does not host public user-generated content, public comment sections, or open discussion forums. Any information submitted through interactive forms is processed privately in accordance with our Privacy Policy.
03Intellectual Property & Agency Portfolio Rights
3.1 Website Content & Structure
All content, materials, code, designs, layouts, graphics, trademarks, logos, texts, photographs, videos, audio, case studies, and visual assets published on the Website are the exclusive intellectual property of Emin Akbaş (Bulbul Agency) or its licensors, protected under French and international intellectual property laws (Code de la propriété intellectuelle).
Any reproduction, representation, adaptation, extraction, automated scraping, framing, modification, distribution, or publication of any part of the Website, by any means whatsoever, without the prior written consent of Bulbul Agency is strictly prohibited and constitutes an infringement punishable under Articles L. 335-2 et seq. of the French Intellectual Property Code.
3.2 Client Marks & Portfolio References
Client logos, trademarks, brand names, and campaign materials displayed on the Website are used solely for identification, reference, and portfolio presentation purposes to illustrate past agency projects and case studies. All rights to client marks remain the exclusive property of their respective trademark owners.
04“Bulbul Connect” Client Portal Access
4.1 Account Provisioning
Access to the “Bulbul Connect” client space is strictly reserved for authorized clients of Bulbul Agency. Accounts are created and issued manually by Bulbul Agency during the client onboarding process following contract execution. There is no open public account registration on the Website.
4.2 Credential Security & Responsibility
Clients are provided with unique login credentials. The client is solely responsible for:
- Maintaining the confidentiality and security of their assigned account credentials.
- All activities, actions, and transactions executed through their account space.
- Immediately notifying Bulbul Agency at info@bulbulagency.com if unauthorized access or a security breach is suspected.
4.3 Permitted Portal Use & Revocation
The “Bulbul Connect” space allows clients to view information regarding their purchased service packages, project status updates, and financial billing documents (such as invoices).
Bulbul Agency reserves the right to suspend or terminate portal access immediately without notice if a client breaches these CGU, attempts unauthorized system modifications, or defaults on payment obligations.
4.4 Data Protection
Personal data collected and processed within the “Bulbul Connect” client portal (including login credentials, billing history, and project records) is handled in strict compliance with applicable European and French privacy regulations, as detailed in Bulbul Agency’s Privacy Policy.
05Website Availability, Technical Modifications & Liability
5.1 Service Availability
Bulbul Agency endeavours to maintain continuous, 24/7 access to the Website. However, Bulbul Agency does not guarantee that the Website will operate uninterrupted, error-free, or fully secure at all times. Access may be temporarily suspended or restricted without notice for technical maintenance, server updates, or security interventions.
5.2 Technical Disclaimer & Limitation of Liability
To the maximum extent permitted by applicable French law, Bulbul Agency shall not be held liable for:
- Any temporary unavailability, technical breakdown, or latency of the Website or Google booking integrations.
- Any direct or indirect damages, data loss, transmission errors, or system breaches resulting from the use of, or inability to use, the Website.
- Technical damage to a visitor’s hardware, software, or network arising from browsing the Website.
06Hyperlinks & Third-Party Integrations
The Website contains links and integrated tools connecting to third-party services (such as Google Meet, Google Calendar, Stripe, Hostinger, and social media networks). Bulbul Agency exercises no control over third-party platforms, their availability, content, or privacy practices. Consequently, Bulbul Agency assumes no responsibility or legal liability for any third-party websites or services accessed via the Website.
Part 2: General Terms of Sale
07Order Formation & Service Contracts
7.1 Scope of Application
These General Terms of Sale (CGV) govern all commercial contracts, service proposals, Statements of Work (SOW), online package orders via Stripe, and bespoke PR or marketing engagements executed between Bulbul Agency and its clients (hereinafter the “Client”).
7.2 Order Execution & Binding Contract
A binding commercial agreement is formally established upon the occurrence of any of the following:
- The signing by the Client of an agency Proposal, Statement of Work (SOW), or commercial quote.
- The written confirmation (via email) of a custom project brief by the Client.
- The online purchase and payment confirmation of a service package processed via Stripe.
08Pricing, Financial Terms & Payment Conditions
8.1 Quotation & Tax Exempt Status
All prices for agency services are quoted in Euros (€). Pursuant to Article 293 B of the French General Tax Code (Code Général des Impôts), Value Added Tax (VAT) is non-applicable (“TVA non applicable, art. 293 B du CGI”).
8.2 Standard Payment Timeframe & Custom Payment Schedules
Standard Terms: Unless a specific payment schedule is stipulated in the applicable SOW or proposal, all invoices issued by Bulbul Agency are due upon receipt.
Flexible SOW Schedules: Depending on project scope, client requirements, and mutual agreement, custom payment structures may be established in the SOW, including:
- An upfront deposit (typically 50% of the total project fee) due upon signing, with the remaining balance due upon project completion or milestone delivery.
- Milestone-based or monthly installment payments as specified in the agreed project schedule.
- Post-project settlement upon final deliverable handoff.
8.3 Payment Methods & Online Subscriptions
Payments may be executed via bank transfer (virement bancaire) to the account designated on Bulbul Agency invoices, or via credit card/recurring debit processed through Stripe. The Client guarantees that they hold all necessary authorizations to utilize the selected payment method.
8.4 Late Payment Penalties & Statutory Recovery Costs
In accordance with Article L. 441-10 of the French Commercial Code (Code de commerce):
- Any payment default or late payment past the designated due date shall automatically and without prior formal notice required incur late payment interest applied at three times (3x) the French statutory legal interest rate, calculated daily from the day following the due date until full payment is received.
- A fixed statutory recovery indemnity fee of forty Euros (€40) for recovery costs shall automatically apply to each overdue invoice. Bulbul Agency reserves the right to claim additional compensation if actual recovery costs exceed this statutory amount.
- Bulbul Agency reserves the right to suspend all active service execution, media outreach, and project deliverables without prior notice in the event of unpaid or delayed invoices.
09Client Cooperation, Review Windows & Approvals
9.1 Duty of Collaboration
The Client agrees to actively cooperate with Bulbul Agency by providing all required brand guidelines, logos, creative assets, press materials, technical briefs, and executive information necessary for service execution in a timely manner.
9.2 Validation & Approval Deadlines (3 Business Days Rule)
To maintain project timelines, press distribution schedules, and production calendars:
- The Client shall have three (3) business days from the date of submission by Bulbul Agency to review, request adjustments to, or approve draft deliverables (including press releases, pitch decks, brand story films, media kits, or campaign creative assets).
- If no written feedback or correction requests are received within this three (3) business day window, the deliverable shall be deemed tacitly approved by the Client, authorizing Bulbul Agency to proceed to the next production phase, press distribution, or public release.
9.3 Revision Limits
Unless otherwise defined in a signed SOW, project quotes include up to two (2) rounds of minor revisions. Major structural changes or requests outside the original scope of work will be subject to additional billing at Bulbul Agency’s standard hourly rates.
10Specific PR, Media Relations & Marketing Disclaimers
10.1 Nature of PR Outreach & Media Coverage
Bulbul Agency executes press outreach, editorial pitches, and media relations with professional diligence. However, the Client acknowledges that media coverage, press interviews, and publication features depend entirely on the editorial discretion of independent journalists and media outlets. Unless explicitly contracted as a guaranteed paid/sponsored media placement in an SOW, Bulbul Agency does not guarantee organic media publication.
10.2 Marketing Performance & Outcome Disclaimers
Marketing performance, campaign engagement, sales conversions, and digital growth depend on external factors beyond agency control, including market conditions, client product positioning, advertising platform policy changes, and third-party algorithm updates. Bulbul Agency provides an obligation of means (obligation de moyens) and does not guarantee specific commercial KPIs unless explicitly stipulated in writing in a signed SOW.
11Cannes Event Activations & Third-Party Suppliers
11.1 On-the-Ground Event Scope
For brand activations, press conferences, and media operations organized during Cannes festivals and industry events (e.g., Festival de Cannes, MIPIM, Cannes Lions), project timelines and logistics are strictly tied to third-party festival schedules and venue constraints.
11.2 Third-Party Costs & Supplier Disclaimers
Bulbul Agency shall not be held liable for event disruptions, festival accreditation schedule shifts, venue access restrictions, or service failures caused by external third-party suppliers (such as venue owners, caterers, security teams, or festival organizers). Third-party expenses incurred on behalf of the Client are non-refundable once committed.
12Intellectual Property Transfer & Portfolio Rights
12.1 Condition of Ownership Transfer
In accordance with Article L. 131-3 of the French Intellectual Property Code (Code de la propriété intellectuelle), all intellectual property rights, copyrights, press materials, custom designs, video assets, and final deliverables created by Bulbul Agency for the Client shall transfer to the Client only upon receipt of 100% full payment of all invoices associated with the engagement. Upon full payment settlement, the assigned rights cover the rights of reproduction, representation, adaptation, and public display, on a worldwide basis, for the entire statutory duration of copyright protection. Prior to full payment settlement, all materials and creative concepts remain the exclusive intellectual property of Bulbul Agency.
12.2 Raw Production Files & Unused Concepts
Preliminary concepts, discarded designs, video project files, and unedited raw footage retain Bulbul Agency’s exclusive intellectual property and are not transferred to the Client unless specifically purchased under an SOW.
12.3 Agency Portfolio Rights
Bulbul Agency reserves the right to showcase completed non-confidential client deliverables, press clippings, and brand logos on its Website, social media channels, and agency proposal decks for identification and portfolio presentation purposes, unless the Client explicitly requests a non-disclosure agreement (NDA) prior to project execution.
13Duration, Monthly Services & Cancellations
13.1 One-Off Engagements vs. Monthly Services
One-Off Projects: Services execute according to the schedule set forth in the applicable proposal or SOW and terminate upon final deliverable handoff.
Monthly Recurring Services: For clients engaging Bulbul Agency on a monthly retainer or ongoing service basis, services renew automatically on a month-to-month basis unless terminated.
13.2 Cancellation Notice Period (30 Days Rule)
Either party may terminate a monthly recurring service engagement by providing thirty (30) days’ written notice prior to the next monthly renewal date via email to info@bulbulagency.com.
During the 30-day notice period, service execution shall continue, and applicable fees remain due.
13.3 Non-Refundable Work
Fees paid for active or completed work phases, retainer periods, or third-party expenses already committed are non-refundable once campaign production or media outreach has commenced.
Part 3: Liability, Mediation & Dispute Resolution
14Limitation of Liability & Force Majeure
14.1 Cap on Liability
To the maximum extent permitted by French law, the cumulative financial liability of Bulbul Agency for any claims, losses, or damages arising out of or related to these CGU/CGV or contracted services shall be strictly capped at the total amount actually paid by the Client to Bulbul Agency for the specific service phase giving rise to the claim during the six (6) months preceding the event.
14.2 Force Majeure
Neither party shall be held liable for failure or delay in performing contractual obligations if such failure arises from a Force Majeure event as defined under Article 1218 of the French Civil Code (Code civil), including severe natural disasters, war, strikes, cyberattacks, government restrictions, or major health emergencies.
15Consumer Mediation (B2C)
In the event that Bulbul Agency enters into a service contract with a non-professional consumer (B2C), and following a prior written complaint submitted to info@bulbulagency.com that remains unresolved, the consumer holds the right to access a free consumer dispute mediation process in accordance with French consumer law (Code de la consommation).
Bulbul Agency is currently finalizing the formal appointment of an approved consumer mediator, whose contact details and referral procedures will be published on this page upon completion.
16Governing Law & Competent Jurisdiction
16.1 Governing Law
These Terms of Service (CGU and CGV) and all related commercial transactions shall be governed by, interpreted, and enforced in accordance with French Law.
16.2 B2B Jurisdiction Designation
For all commercial disputes arising between Bulbul Agency and B2B clients regarding the validity, interpretation, execution, or termination of these terms or related contracts, exclusive jurisdiction is hereby expressly granted to the competent Commercial Court of Strasbourg (Tribunal de Commerce de Strasbourg, France).
16.3 Language Precedence
These Terms of Service are published in English for the convenience of international visitors and clients. In the event of any conflict, discrepancy, or ambiguity between the English text and its French translation or statutory French legal concepts during judicial or administrative proceedings, the French legal text and French statutory interpretation shall prevail before French courts.
